These terms of service govern your use of the CaptiveFlow platform, operated by MSP Kickstart Limited, a company registered in England and Wales (company number 16297973), trading as CaptiveFlow. By subscribing to or using CaptiveFlow, you agree to be bound by these terms. If you do not agree, you must not use the service.
CaptiveFlow provides a cloud-based guest WiFi marketing platform. The service includes a customisable captive portal for guest WiFi authentication, a dashboard for viewing guest data and analytics, and FlowBox hardware to connect your venue's network to the CaptiveFlow platform. CaptiveFlow provides the portal and data collection platform only. You are responsible for your own WiFi network infrastructure, internet connectivity, and any communications you send to guests using data collected through the platform.
Each CaptiveFlow subscription includes a FlowBox device provided for use at your venue. The FlowBox hardware remains the property of MSP Kickstart Limited at all times. It is provided to you on loan for the duration of your subscription. You are responsible for keeping the device in good condition, connected to power and your network. On cancellation of your subscription, you must return the FlowBox device to us within 30 days. Failure to return the device may result in a replacement charge. We will provide a prepaid shipping label for returns.
CaptiveFlow subscriptions are subject to a minimum term of 12 months from the date of activation. Billing is monthly in arrears unless otherwise agreed in writing. Prices are quoted exclusive of VAT, which will be added where applicable. We reserve the right to adjust pricing with 30 days' written notice, with any changes taking effect at the start of the next billing cycle after the notice period. If payment fails, we may suspend access to the platform after providing reasonable notice and an opportunity to resolve the payment issue.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must ensure that any content displayed on your captive portal (including logos, text, and images) does not infringe on any third party's intellectual property rights and complies with all applicable laws. You must not use the CaptiveFlow platform to collect data for unlawful purposes, send unsolicited marketing communications to guests who have not opted in, display illegal, offensive, or misleading content on your portal, or attempt to access other customers' data or interfere with the platform's operation.
You acknowledge that, in respect of guest data collected through your captive portal, you are the data controller and CaptiveFlow (MSP Kickstart Limited) is the data processor. You are responsible for ensuring you have a lawful basis for collecting guest data and for complying with your obligations under the UK GDPR and Data Protection Act 2018. We will use reasonable efforts to ensure the CaptiveFlow platform is available and operational. However, we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to scheduled maintenance (which we will endeavour to carry out during off-peak hours), unscheduled maintenance required to address security or stability issues, or circumstances beyond our reasonable control including internet outages, power failures, or third-party service disruptions. We will endeavour to notify you in advance of any planned downtime that may affect your service.
To the maximum extent permitted by law, MSP Kickstart Limited's total liability to you for any claims arising out of or in connection with these terms or your use of the service shall not exceed the total fees paid by you in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
All intellectual property rights in the CaptiveFlow platform, including software, designs, documentation, and the FlowBox hardware design, remain the property of MSP Kickstart Limited. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for your internal business purposes during the subscription term. You retain ownership of any content you upload to the platform, including logos and portal customisations.
After the minimum 12-month term, either party may terminate the subscription by giving 30 days' written notice. We may terminate or suspend your access immediately if you breach these terms, fail to pay fees after reasonable notice, or use the service in a way that could harm other customers or the platform's integrity. On termination, your access to the dashboard will be revoked, your guest data will be deleted within 90 days, and you must return the FlowBox hardware within 30 days.
These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these terms from time to time. If we make material changes, we will notify you by email at least 30 days before they take effect. Your continued use of the service after changes take effect constitutes acceptance of the updated terms.
